The company has received commitments from investors to purchase 500,000
shares at 15 cents, each share carries a warrant to purchase an additional
share at 15 cents, exercisable up to April 21, 2000, or at 17.5 cents up to
April 21, 2001.
Proceeds from this private placement will be used for general corporate
purposes.
