Pursuant to the call of a person holding 10% or more of the outstanding common stock of CBQ, Inc.. a Colorado corporation (the"Company"), the undersigned does hereby give notice of a special meeting of shareholders to be held on Friday, April 30, 1999, at the hour of 9:00A.M., Dallas, Texas, time at 4851 Keller Springs Road, Ste. 213, Dallas, Texas, 75248, for the purpose of:
a.) electing five directors to serve until the next annual meeting of shareholders or until such time as they or any of them shall resign or be removed from office, and
b.) conducting such other and further business as shall properly come before the meeting.
The record date for sharholders entitled to vote at the meeting is APril 8, 1999.
