CATHAYONLINE, INC. (KYOM)

Corporate Profile

CathayOnline Inc. has channeled its efforts and entered the Internet field to become
an online Internet Service Provider (ISP) and E-Business Company. The Internet,
developed in 1969 became commercialized in 1990 and has changed industry as well
as the world population thinks regardless of age. The Internet has reduced the world
to the basic computer. With the ever-changing technology and the unlimited growth
potential worldwide, CathayOnline's mandate is to establish an ISP and E-Business
Service Provider in Asia.

CathayOnline has established a strong foothold in China with its alliance established
in Sichuan Province, China with a population exceeding 100 million.

South China Morning Post, Agence France-Presse, and US based Matrex East Inc.
stated the official Internet users could exceed 5 million by the year 2000. "Peter
Lovelock" of Hong Kong based Big Brains Limited suggest the figure will be closer
to nine million.

China's future will depend on growth, and technology will be the fuel. As China
continues to spend billions of dollars in optic fiber, which today links over 85% of the
country, the backbone is in place to support the massive growth in Internet usage.
Internet users have grown from 70,000 in 1996 to over 2.5 million today. Web pages
hosted in China have grown from 100 in 1994 to 250,000 in 1998. The Chinese
market is expected to become the LARGEST in the world. According to The
Computer Economics report by the year 2005 China will have 37.3 million online
users, second to an estimated 126.6 million in the U.S.A.

To date, there are only four ISP's in operation within the province with a population
of 100 million people. This company is now working with the first foreign private
sector Internet operating license issued by the Government of China for the
Province of Sichuan. The Company is now working with their partners to expand their
services throughout the entire Province during the next 6 to 12 months

The Chinese Government has sanctioned Lotteries to support sports and welfare.
While in its infancy this has become the fastest growing gaming segment in China,
with 6 month lottery sales exceeding USD 1.33 billion.

Negotiations are currently underway with the Company and its affiliated partners to
enter into this market.
