T win this bidding war for UMG but MSFT get major concessions/future
considerations from T as payback for not helping Comcast outbid T

This is the key to the whole thing, MSFT wants world domination (inside those damned set top boxes) not a bunch of cable assets attached to regulatory nightmares. T has been playing under the feds its whole life. MSFT will let it go through, but will get that something in return.
