In October, 1996, the Company received gross proceeds of $2,000,000 from the private sale of its common stock. 2,000,000 shares were sold at $1.00 per share to an aggregate of 10 foreign investors. The sales were made pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended, under Regulation S promulgated thereunder. The net proceeds of
approximately $1,558,354 received from this sale have been utilized for working capital.
