Since the pleadings of the 4 or 5 lawsuits haven't been made available, we can only guess. Since this merger is not an arbitrary decision of the Board, but rather requires a majority vote of USRX shareholders, I believe the suits will be considered frivolous and will be summarily dismissed.

If a "superior" offer comes along and the Board turns it down without going to the shareholders, then some meritorious suits will be forthcoming.
