I just read Guilford's May 18 proxy statement, which proposes to amend Guilford's Certificate of Incorporation to require that members of the board can only be removed by shareholders "for cause" and only by an 80% supermajority vote. This looks like a powerful and most unusual antitakeover provision, which may be taking direct aim at the viability of your "rabbit". Any insights?
