Aside from Moonray's good point,

LU would gain a much stronger position in the switching biz w/3Com and this would fit nicely in between ASND's access and ATM biz. While LU does have product in this area, its market share is minimal. GB ethernet is strong for 3Com and they have LAN telephony products as well that stem from side of the biz.

Further, they benefit by other telecom providers not getting 3Com's switching business. Market share is a good reason to buy a company (or a biz unit).

LU could potentially take on modem (analog, dsl and cable) and NIC biz but i'm not sure how much of that they would want to swallow.

The premise of my points about LU start with my belief that the best deal for 3Com is one where different parts get sold to different companies and that LU is uniquely positioned to pay the most for any single part of COMS (or the whole).
