NOTICE OF ANNUAL MEETING OF SHAREHOLDERS
To be held on Friday, May 7th, 1999
TO THE SHAREHOLDERS OF ALYA INTERNATIONAL, INC.
PLEASE TAKE NOTICE that the Annual Meeting of Shareholders of ALYA
International, Inc. (the “Company”) will be held at The Cypress Room, Executive Inn
Hotel, 405 North Road, Coquitlam, BC; on Friday, May 7, 1999, at 1:30 P.M. local time,
or at any adjournments thereof, for the following purposes:
(1) to elect 6 directors to hold office until the next annual meeting; and
(2) to transact such other business as properly may come before the meeting.
Only shareholders of record at the close of business on April 7, 1999 will be entitled to
vote at the meeting. The transfer books of the Company will not be closed.
Your are cordially invited to attend the meeting in person. Please indicate on the
enclosed proxy whether you plan to attend the meeting. In any event, please mark,
sign, date and return the enclosed proxy to ensure your shares are represented at the
meeting. You may vote in person if you attend the meeting even though you have
executed and returned a proxy.
