If most of management can keep their jobs or get a "golden handshake" for signing they would push a deal through.

If they sell the company, that would be a blow to their egos. It would mean they are incompetent and unable to successfully run a business. No amount of money could make up for that.

In fact, they already have plenty of money: the company has (had) $4 a share in cash, worth a few hundred million. They can probably raise a few hundred million more and put the company in debt; what do they care? A few hundred million to play with is better than any golden parachute. Hey board, how about a Christmas bonus in April, I need a new house and car? Sure, Halpin, here's $20 million out of our cash account, because you've done such a good job.
