Canadian Exchanges Clear UDI Share Buyback Program

United Dominion Industries Ltd. announced that the Toronto Stock Exchange
and The Montreal Exchange have accepted notice of its intention to buy back up
to two million, or approximately 4.4 percent, of the company's outstanding
common shares from time to time in the open market. The repurchases will be
accomplished through a normal course issuer bid in Canada, commencing
March 5, 1997 and ending February 28, 1998. The actual number of shares
purchased, the time of purchases and the prices at which they will be bought
will depend upon future market conditions. The company currently has 45.2
million common shares outstanding and plans to cancel shares purchased under
the buyback program.

United Dominion manufactures engineered products for industrial and
commercial customers worldwide. The company has approximately 11,000
employees at 66 plants in 16 countries.
