DUPONT BOARD AUTHORIZES CONOCO SPLIT-OFF PLAN
WILMINGTON, Del., April 28 /PRNewswire/ -- DuPont (NYSE: DD) today announced that its board of directors has authorized a split-off plan to establish Conoco as a fully independent company. The split off would be achieved through an exchange offer providing DuPont stockholders the opportunity to exchange, on a tax-free basis, shares of DuPont common stock for shares of Conoco Class B common stock currently held by DuPont.
The exchange offer remains subject to approval by the U.S. Securities and Exchange Commission (SEC) and acceptable market conditions. It is currently anticipated that the exchange offer will be completed in the third quarter.

The offering will be made only by means of an Offering Circular/Prospectus which will contain the specific terms of the transaction and which will be provided to DuPont stockholders at the commencement of the exchange offer.
