It says that there will be a special meeting of shareholders to be held on May 13, 1999 for 2 purposes:

1) To amend the Company's Restated Certificate of Incorporation to provide for an increase int he number of authorized shares of COmmon Stock $0.01 par value per share, from 100,000,000 shares to 400,000,000 - 4 for 1 I believe...

2) has to do with Employee stock option plan
