The company has issued 87,500 shares to Newfoundland Mining & Exploration pursuant to an agreement dated Feb. 12, 1999, in respect of licences 4105, 4420, 4421, 4422, 4567, 4568 and 4775M. Warrants have also been granted entitling NME to purchase a further 87,500 shares for a two-year period at 35 cents during the first year and at 40 cents during the second year. All shares are subject to a one-year hold period and may not be traded in British Columbia until April 26, 1999.
