BTW, In my opinion re: IPO shares(READ)

The way that the company will get around the 20% accounting requirement and the way the company will be able to have enough shares to satify everyone and still control the deal is that they will issues (super voting shares). Those will be the shares that the partners and the IDTC will have control over. Most likely they will get 3 votes for each share and therefore with 20% ownership, IDTC will control Net2phone but have plenty of regular shares to go around.
