Lawyer's opinion on the documents sent to the SEC by Flodyie...
The documents Flodyie is referring to were sent to a lawyer friend of mine, who shall remain nameless by request. Here are excerpts of his reply to me, if you still had any doubts about ZSUN being a bona fide Company:
"Francois and Floyd: I've reviewed the ZSUN materials faxed to me today by Floyd. I have faxed the four-page summary to Francois, and mailed to him the entire 52-page package.
There is no law against a company having its own office address (the telephone directory search address?) while simultaneously using the IR firm's address as a mailing address. In fact, several companies represented by that IR firm can do the same thing, if they wish. This frees each of them from having to deal with shareholders.
The address used for a state filing does not usually have to be the company's main office address. It could be the registered agent's or company attorney's address, a non-updated listing using the address of the former owners of the shell, or a current satellite office of the company. A change in this information, which the shorters could have brought to the company's attention, might not be an effort to "cover the trail" - it might be that the company simply corrected the outdated or incorrect information once it became aware of it.
Ziasun is not Bestway anymore, so I don't see why the 11/12/97 purchase order or the "related party" issue has any relevance to ZSUN.
There is nothing illegal about Veritas being affiliated with a broker-dealer (Amber), and the Hong Kong problem is irrelevant to ZSUN.
CONCLUSION: I see no reason why the SEC would want to investigate ZSUN, much less halt its trading, based upon my interpretation of the facts set forth in Floyd's fax. I have no position in ZSUN and do not intend to invest in it, long or short. All the best to both of you".
