Clariti Wireless Messaging is currently developing the ClariCAST™ Digital Wireless Messaging System, the world's first wireless voice messaging system to combine small pager size, low cost, and digital sound. It is an end-to-end wireless communications system that uses FM radio towers to deliver voice messages to small, battery operated voice pagers.

The Clariti Voice Paging Service can be used by business professionals as well as mainstream consumers, just like any other pager. Unlike most other pagers, however, the user receives a complete message in the voice of the sender instead of a telephone number or text message.

GlobalFirst sells a broad range of telecommunications products and services in the emerging European market. Nov. 6, 1998 CLARITI TELECOMMUNICATIONS INTERNATIONAL, LTD. AND CHADWELL HALL HOLDINGS ENTER DEFINITIVE AGREEMENT TO FORM SIGNIFICANT TELECOMMUNICATIONS GROUP

Clariti Telecommunications International Ltd. and an international telecommunications group of Investors, represented by Chadwell Hall Holdings, Ltd. ("CHH'') of the B.V.I., have entered into a contract to create an international communications service provider.

Pursuant to the agreement, Clariti will acquire all of the outstanding stock of GlobalFirst Holdings, Ltd., a United Kingdom company ("GlobalFirst'') in exchange for 76,571,500 shares of Clariti common stock. GlobalFirst has operating subsidiaries and businesses located throughout Europe involved with corporate and residential telecom services including transatlantic fiber optic voice and data transmission, (through its virtual private telecom network), pre-paid mobile phones, prepaid phone cards and call offices, including 123 fully owned and licensed public communications centers in England, France, Italy, Spain and Germany. GlobalFirst is currently generating revenue at an annual rate of approximately $100 million. The combined companies will be known as Clariti Telecommunications International, Ltd.

February 12, 1999 CLARITI TELECOMMUNICATIONS INTERNATIONAL TO ACQUIRE MEDIATEL GLOBAL COMMUNICATIONS

Clariti Telecommunications International, Ltd today announced it has signed a definitive agreement to acquire MediaTel Global Communications, Ltd. , a switchless reseller of telecommunications services, headquartered in the United Kingdom. The Company has annualized revenues of approximately $40 million based on its most recent quarter.

"The proposed acquisition of MediaTel marks another step toward our goal of providing simple, powerful and affordable communications solutions to the worldwide marketplace," stated Peter S. Pelullo, Chairman and Chief Executive Officer of Clariti. "Our intention is to merge and integrate MediaTel with GlobalFirst Holdings, which we acquired late last year.

The combination of these two companies will provide vast economies of scale from, among others, an operation and sales and marketing standpoint, in addition to allowing entry into new markets, such as the small-to-mid sized enterprise market in France and the U.K. Going forward, we will continue to evaluate other telecommunications companies that would complement our investments in MediaTel and GlobalFirst."

April 26, 1999 CLARITI SIGNES FIRST DISTRIBUTION AGREEMENT FOR WIRELESS VOICE MESSAGING-Deal with Conectel, Brazil's #1 Paging Company, Validates Clariti's Innovative Wireless Technology Concept-

Clariti Telecommunications International today announced that its wireless division, Clariti Wireless Messaging, has signed a Memorandum of Understanding ("MOU") with Acme Paging, the largest provider of paging services in Latin America. Under the terms of the MOU, Acme Paging will sell Clariti's digital voice pagers and wireless voice messaging services in Brazil through Acme's subsidiary, which operates under the Conectel brand name. This marks the first distribution agreement that Clariti has signed for its patented ClariCAST™ Digital Wireless Messaging System. Other terms of the agreement were not disclosed.

According to the Yankee Group, a leading international market research firm, Conectel has the number one market share in Brazil, with more subscribers than any other paging service provider. Conectel offers text and numeric paging services in all of its major markets.

April 29, 1999 CLARITI TELECOMMUNICATIONS INTERNATIONAL ACQUIRES MEGAHERTZ-NKO --Acquisition of Internet Telecommunications Service Provider Enables Clariti to Provide Broad Array of Voice and Data Telecom Services—

Clariti Telecommunications International, Ltd. today announced it has signed a definitive agreement to acquire MegaHertz-NKO, Inc. ("M-NKO"), a Jacksonville, Florida based provider of Internet Protocol ("IP") telephony, Internet and web-based services for consumers and businesses.

M-NKO offers products and services that meet most aspects of telecommunications including dial up and dedicated access, customized Web hosting, e-commerce, enhanced telecommunications and IP Telephony.

Peter S. Pelullo, Chairman and Chief Executive Officer of Clariti, said, "We are very excited to have M-NKO and its management team join the Clariti organization. M-NKO's existing managed IP network infrastructure, NKOnet, will allow us to quickly and cost-effectively expand our telecom business to countries outside of Europe, including the U.S., Brazil, South Korea, Mexico, Australia, and Israel. M-NKO's internet transmission technology provides us with the means to route our voice, fax and data traffic at a much lower cost than traditional telecommunications systems, while helping us expand our share of the market."
