Well, if you were Bill Gates, it will be a nightmare everynight if your future business
will depend on AT&T's good will, that the access of Cable network for the e-commerce business, sell software to the set top box. If MSFT lost thse two business,
the Microsoft's days are counted, because it will lose its future. For AOL, well, it is a matter of survive or death. If you are an ISP company, and you may lose access to 50% of your customers, that is the end, especially AT&T prefers ATHM , which is a cable network ISP.

So, Microoft , AOL and comcast will team up to up the bid for Media one. It is for Microsoft's best interest to throw couple of more billions to increase the % of Microsoft's ownership of comcast from 5% to 10%.
