At the time the gateway deal fell apart, there were 2 fairly consistent rumors about the reasons. First, people involved in both the negotiations and presentations to the board said that Waitt had a huge ego and wanted a guarantee of a senior management position, but the board felt that he did not have either the experience or skill set to play a broader role in CPQ. Second, the terms of the deal were never "in the box" - Waitt wanted a lot more than CPQ was willing to offer. So I think that the idea that CPQ was on the brink of a deal is just revisionist history.
