Frank C. Carlucci Becomes Nortel Networks' New Chairman of the Board ofDirectors


April 29 /PRNewswire/ - At its Annual Shareholders' Meeting today, Nortel Networks' (NYSE: NT/TSE: NTL) announced the election of Frank C. Carlucci to the position of non-executive chairman of the board. Carlucci, replaces Donald J. Schuenke who had served as chairman of the board since April 28, 1994.

''Don has been an outstanding chairman for the past five years. During his tenure, we made a number of key acquisitions, including Bay Networks, and have really turned Nortel Networks into a company at the heart of the Internet.

Carlucci of McLean, Virginia, a member of the Nortel Networks board of directors since 1989, currently serves as the chairman of the Carlyle Group, a Washington, D.C.-based merchant banking firm as well as chairman of the board and a director of Neurogen Corporation.

Earlier, Carlucci enjoyed a long and distinguished career in the U.S. government. His periods of service which spanned both Democratic and Republican administrations, included appointments as Secretary of Defense from 1987 to 1989, National Security Advisor to President Reagan in 1987, Ambassador to Portugal, Assistant to the President for National Security Affairs, Deputy Secretary of Defense, Deputy Director of Central Intelligence, and Deputy Director of the Office of Management and Budget.

Speaking on his election as chairman, Carlucci said, ''Since my election to the board of directors ten years ago, I've worked with a great many leaders as Nortel Networks has grown both its revenue and earnings as well as its contributions in the field of communications. I believe we are now poised to provide the products and leadership that will turn the vision internet customers have of the future into reality.''
