I already chatted with company personnel about the "pooling" issue a year or so ago. I relied on the CPAs OPINION then which I read to mean that the pooling was proper SEC & GAAP accounting and would be utilized. ESPECIALLY in light of the fact that we had a previous "pooling issue" with the Travel Source Ltd subsidiary!

I don't want the SEC to go after the CPAs at all. I want the SEC to GO AWAY! They have never been my friend, I don't want or need them around. They are worthless when you really need them, and they are your enemy when they are "helping."

This is what we relied upon:
In our opinion the consolidated financial statements referred to above present fairly, in all material respects, the financial position of DCI Telecommunications, Inc. and subsidiaries as of March 31, 1998 and 1997 and the results of their operations, and their cash flows for each of the two years in the period ended March 31, 1998, in conformity with generally
accepted accounting principles.

WHY isn't this good enough for the SEC??? That's the question that needs an answer before anything else.
