Cyrix To File Second Supplement For 5.5% Conv Sub Notes
RICHARDSON, Texas (Dow Jones)--Cyrix Corp. (CYRX) plans to file a second supplement to its original prospectus for 5.5% convertible subordinated notes due 2001, naming additional selling noteholders.
In a press release Wednesday, Cyrix Corp., which makes microprocessors, said it privately placed 5.5% convertible subordinated notes due June 1, 2001 in May 1996. A statement registering the resale of the notes and the underlying common stock was filed with the Securities and Exchange Commission and declared effective.
The original statement provided that only beneficial holders specifically named in the prospectus or a supplement are eligible to sell their notes or underlying shares, the company said.
A company spokesman said the intent of the second supplement is to identify those holders not identified in the prospectus or the first supplement. He said the second supplement affected about 10% of the holders.
The filing will take place on or around March 19, the company said.
