But to respond to your question, the 120,000 shares that VVUS is contributing will probably come from treasury shares, whether earlier repurchased or never issued.

I'm not sure that VVUS should be using its cash to buy more shares, and if it has some pending announcements, it shouldn't be buying for securities law reasons -- it doesn't need another lawsuit, which it might get if it bought in the market when it had not yet disclosed material facts.
