If you know factually that the board strayed from their fiduciary duties to not act in the shareholders'best interests, you should contact a lawyer. Any good lawyer would jump at the chance for a class action lawsuit. The board members are personally liable for the difference.

I know nothing about it one way or another, but I don't think the members are stupid enough to take this risk. On your point that vlsi would do well on its own, I tend to agree with you. But, we have been there and seen that - just when the company's at an important junction, things turn sour. Being part of Phillips, the company may hold up against the big boys better, but unless Phillips does well in other areas, vlsi will not contribute significantly to affect its stock price. It may end up on the short end of the stick if a lot of people with their options immediately vested start to leave for better opportunities in terms of stock options. Let's hope that this deal will end up similarly to Comcast-Media One.
