RE: TD's LPO (Limited Public Offering) of its world wide securities business including "waterhouse". Some of the gemmers have asked me to inform them when I received a reply from TD bank about the LPO.. Here is the response I got today..:) N.C.

Thank you for your e-mail inquiry and your interest in the TD Waterhouse LPO.

At this point, we have been instructed by the regulatory bodies that
have jurisdiction in the LPO that we are not allowed to accept any names
and telephone numbers of interested parties wishing to purchase shares
in the prospective LPO until the required waiting period has concluded.
We appreciate your interest in this LPO and are presently working toward
the effective management of distribution of shares in a fair and orderly
manner. Waterhouse, Green Line and Evergreen will communicate further
details to their clients regarding the access and distribution of shares
in TD Waterhouse Securities currently anticipated before the end of July
1999. If desired, please visit www.sedar.com to view the Preliminary
Prospectus.

Sincerely,

Gus Chrisanthopoulos
