Friday May 7, 1:51 pm Eastern Time Company Press Release SOURCE: Mattel, Inc. Shareholders Approve Merger of Mattel and The Learning Company LOS ANGELES, May 7 /PRNewswire/ -- Mattel, Inc. (NYSE: MAT - news) and The Learning Company, Inc. (NYSE: TLC - news) today announced that shareholders of both companies have voted to approve the merger of The Learning Company and Mattel. Voting by shareholders occurred at separate meetings held today in Los Angeles, Calif., and Cambridge, Mass. The companies expect to complete the merger on May 13, 1999. Based on this closing date, it is expected that each share of Learning Company common stock will be exchanged for 1.2 shares of Mattel common stock. SOURCE: Mattel, Inc.
