Constantine,

Consider this for a moment. Lets say this deal was announced 2 months ago when coms was at 77 and usrx was at 68. At that valuation usrx shareholders might of received a much different exchange. Possibly .9 shares of coms for each usrx share. Now that the stock price of coms has corrected ( and consider the reasons for that ie slowing trends in some business, prorduct transitions etc. ) usrx shareholders are receiving a much larger stake in the combined company 1.75 shares.

My point is that if there is to be a deal hoe fortunate we are as usrx shareholders that the stock is pegged at the low end of coms trading range.

I agree that a all cash tender might of yeilded different results but it could of been much worse.

Just my two cents.

T.
