I heard that Waite wanted a seat on the CPQ board and wanted GTW to remain an autonomous company within CPQ with himself as CEO, also that he insisted on a "no-layoff" policy after the acquisition. Also that the price he wanted was way over what CPQ wanted to pay. Don't know if some or all of these were the deal breaker as the people I spoke with were not actually involved in the discussions.
