Thus, if I understand correctly, a permitted bid is a bid that has already received the BoD 'approval' as being a fairly valued offer which in turn indirectly ensures the remittance of XX% of the outstanding shares held by management.

In other words, the plan comes into effect only if a hostile takeover is launched or if a company tries to accumulate more than 20% of the company's outstanding shares.
