Brooks, I can only theorize without looking back to the original agreement that this has something to do with the poison pill that the company inacted in '97. It could also have something to do with Intuit and the proposed settlement that could be in the works at arbitration. I believe that Intuit owns about 19% after their most recent sale and this amendment would effect them because I think they were a shareholder at that time. ALL THIS IS PURE GUESS WORK ON MY PART.

I am not by a long shot a securities lawyer or any lawyer for that matter, thank you very much. Charlie or Bob could probably elaborate
much better than I.
