As part of the transaction, the Company repurchased from Group V all of the shares of Casino Management of America, Inc. and its subsidiaries,
NuOasis Laughlin, Inc. and NuOasis Las Vegas, Inc. The Company maintains warrants to purchase up to 12 million shares of Group V common stock.

The sale reduces the Company's voting control of Group V to less than 20%. When completed, subject to the Company's future exercise of the
warrants, the transfer of all 250,000 shares of Group V preferred stock will result in the disposal of all of the Company's interest in Group V.
