Frank,

1. I'm intrigued by the recently distributed 1998 Annual Report.

2. I read that GRIN's strategy is to diversify via acquisitions by moving beyond DISTRIBUTION of toys. They say MANUFACTURING is next and this might go beyond toys. Also, E-COMMERCE.

3. What in the world is GRIN up to?

a. Three of the four pincipals are OLD: The Chairman and Vice Chrman are in their 60s. The Pres is near 60 but lives in the US and is a former president of the Toy Division of Hasbro. Latter left Hasbro in 1998 when Hasbro acquired Tiger Electronics.

b. Currently, GRIN does NOT manufacture any products.

c. It seems that the glue in GRIN's relationships with its key customers is based on the esteem of two principals who have worked in GRIN for 35 yrs.

4. Where is GRIN headed?

a. No doubt 1999 will be a GOOD year for revenue and earnings.

b. Since the principals are seasoned gentlemen who would surely love to take their equity and retire, is GRIN getting spruced up for a buyout???

c. I don't believe the nonsense about manufacturing and moving beyond toys.

5. What do you think? Do you see this as a good deal for shareholders?
