ATMI ANNOUNCES LETTER OF INTENT TO ACQUIRE ACSI
To Add CMP and Developer/Strip Products to its Materials Portfolio

DANBURY, CT - May 17, 1999 - ATMI, Inc. (Nasdaq: ATMI), today announced it
has signed a letter of intent to acquire Advanced Chemical Systems
International, Inc. (ACSI) of Milpitas, California. Under the terms of the
agreement, ACSI will be merged into ATMI in a pooling of interests
transaction. The completion of the transaction is subject to entering into
a definitive agreement, approval of the Company's Board of Directors,
regulatory approvals, and other customary closing conditions.

Gene Banucci, ATMI CEO, said, "ATMI's goal is to be the one-stop source for
semiconductor specialty front-end materials. Adding ACSI and its products
to our portfolio extends ATMI's reach - beyond chemical vapor deposition,
ion implant materials, and specialty materials packaging - into
photolithography and chemical mechanical polishing (CMP) materials."

Richard Brewer, President of ACSI and 1996 SEMI Materials Awards recipient,
commented, "ATMI has an impressive record of innovation in novel and
leading edge semiconductor materials and delivery systems. ACSI's expertise
in CMP and photolithography ancillary materials is extensive. Under the
ATMI banner, we expect to be able to jointly offer the broadest line of
front-end specialty materials to the global semiconductor industry."

Advanced Chemical Systems International, Inc., founded in 1987, is a
respected name in photolithography chemicals. ACSI also offers the
semiconductor industry novel high purity CMP materials that ensure greater
surface planarity. Privately owned, ACSI has 85 employees and had revenues
in excess of $17 million in 1998.

ATMI provides products and services for semiconductor device manufacture
through its Materials and Technologies units. ATMI Materials includes ADCS
thin film materials and delivery systems, NovaSource sub-atmospheric gas
delivery systems, and NOW high-purity materials packaging systems. ATMI
Technologies includes EcoSys process and environmental solutions,
Epitronics thin film deposition services, Emosyn smart card solutions, and
other ATMI ventures.
