J.D. Edwards Acquires Leading Internet Supply Chain Vendor

DENVER--(BUSINESS WIRE)--May 17, 1999--

Integration of Numetrix Products Delivers Real-time, Web-based

Collaboration Among Customers, Suppliers and Trading Partners; Enables Organizations to Speed Time to Market

Enterprise business software provider J.D. Edwards & Company (Nasdaq:JDEC) announced today that it has executed an agreement to acquire privately held Numetrix Limited, a Toronto-based provider of Internet-enabled supply chain planning software. J.D. Edwards will integrate the Numetrix product suite with its existing enterprise application solutions to link customers, suppliers and trading partners in collaborative enterprise networks. This solution strongly positions J.D. Edwards to address the rapidly expanding business-to-business Internet commerce market as leading corporations demand global, integrated supply chain solutions.

The Numetrix solution is designed to permit users to plan, synchronize and optimize the management of their supply chains on a comprehensive and timely basis over the Internet. As such, it will complement J.D. Edwards own development efforts and play a key role in J.D. Edwards' e-business solution, which will be announced at the Company's international customer conference in Denver this week. The combined Numetrix/J.D. Edwards offering is designed to result in an integrated, Web-based supply chain solution that accelerates the flow of goods and services through the extended enterprise, reducing manufacturing cycle time and investment in working capital, and increasing responsiveness to customer demands.

I believe that with this acquisition, we will offer the only complete, integrated supply chain and enterprise software solution, and be ideally positioned to address the Internet-based business-to-business commerce market." According to Forrester Research, an industry analyst firm, Internet-based business-to-business commerce is expected to become a $1.3 trillion market by 2003.

Under the terms of the agreement, J.D. Edwards will acquire the stock of Numetrix for approximately $80 million cash in a purchase accounting transaction. The acquisition is expected to be accretive to cash earnings and slightly accretive to GAAP earnings by late fiscal 2000. Closing is expected to be in June.

Powerful Solutions, Compatible Architectures

The solution from Numetrix supports the adaptability of J.D. Edwards' ActivEra(TM) business model, and the Company's Idea to Action(TM) value proposition. By decreasing process time and increasing asset utilization, the solution is designed to provide agility -- both in terms of more effective business decisions in the face of changing market conditions, and ultimately greater control over changing technologies. At the functionality and process levels, the Numetrix/3 supply chain management solutions complement J.D. Edwards' SCOREX supply chain initiative. In addition, Numetrix/xtr@ is the first product to market that offers supply chain management solutions utilizing the Internet.

Numetrix's innovative systems architecture (DOMA, or Distributed Object Messaging Architecture) alerts users to relevant changes anywhere within the supply chain, prioritizes the messages for each user in order of importance, and provides every participant with optimization tools for managing change anywhere in the supply chain. J.D. Edwards' product architecture is similarly object-based, enabling enterprise applications to be modified easily with ActivEra during or after implementation, so customers can better respond to marketplace opportunities. Availability

The Numetrix solution is available immediately. It will remain available standalone, and a version integrated with J.D. Edwards supply chain execution software is currently expected to be delivered in late calendar 1999.
