PENNY STOCK BAR ORDER ENTERED AGAINST GILBERT ZWETSCH

On May 14, the Commission issued an Order Instituting Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings and Imposing Remedial Sanctions barring Gilbert A. Zwetsch (Zwetsch) from participating in any offering of penny stock. Zwetsch consented to the Order without admitting or denying the findings contained in it. The Order finds that Zwetsch was enjoined from violating Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, Sections 10(b), 13(d), 13(g) and 16(a) of the Securities Exchange Act of 1934, and Rules 10-5, 10b-9, 13d-1, 13d-2 and 16a-3 thereunder, based upon his participation in the offerings of the common stock of Market America, Inc. (Market America), Masada Corporation (Masada) and Olympus Ventures, Inc. (Olympus), and other issuers [SEC v. Gilbert A. Zwetsch et al., D.D.C., Civil Action No. 99-1088]. The Order also finds that the common stock of Market America, Masada and Olympus were "penny stocks" within the meaning of Section 3(a)(51) of the Exchange Act and Rule 3a51-1 thereunder, and the distributions described in the Order each constituted "an offering of a penny stock" within the meaning of Section 15(b)(5) of the Exchange Act.
