VOTE DIRECTORS OUT!!!

After going over the proxy a number of times, I'm convinced that the dilution will happen anyway without an immediate concentrated effort on the part of all shareholders right now.

VOTE NO TO #6

It has come to my attention that #6 on some proxies contain different wording than others. On mine, it reads:

"To approve a special resolution authorizing the Board of Directors of the Corporation at its sole discretion and authority, to acquire such properties, assets or undertakings as It determines appropriate for the company in consideration for cash and/or shares, as the board may determine, which number of shares may be greater than 20% of the Issued and outstanding shares of the Company AND MAY RESULT IN A CHANGE OF CONTROL OF THE CORPORTATION, with the shares to be issued to consist of "trading shares" or "performance shares", or a combination thereof, as the Board may determine, in accordance with the polices of the regulatory authorities, providing such acquisition is also acceptable to and approved by any stock exchange having jurisdiction."

Other proxies, I understand, do not have anything about the 20% under line item #6 but do have something in the balance of the information that came with the proxies. Meaning you'll have to read everything to fully understand what it is your voting for. This is NOT a minor thing. I don't know about the legalities involved, but one has to wonder.

On other proxies, there is no provision for a "write in" for a proxy holder. Only choices are David R. Robinson or David G. Wilson and no write in candidate.

I am suggesting to all voting shareholders to do the following:

(1) Vote "Against" for line items #5 (rollback) and #6 (enables the current board to dilute shares to the point they and their cronies will have complete control of Tracer and future votes will mean nothing)

and (2)

Vote "Against" Larry W. Youell, David R. Robinson, David G. Wilson, and Robert L. Fearon.

Vote "For" Stephen T. Jacobs.

If we are successful and remove all directors except Stephan Jacobs, a group of shareholders will announce a new plan immediately which could save Tracer shareholders from a complete loss of their existing investment. A plan that will not be forthcoming if current management stays in power.

Don't loose faith now as the A.G.M. looms closer. Any lack of concentration now can crush the solidarity which we have established up to now. We must rid the board of the mistakes which have recently been made and implement a new plan of our own. Send a clear message if you haven't done so yet.

VOTE "NO" TO #5 & #6 AND "AGAINST" RETAINING THE MAJORITY OF THE CURRENT BOARD MEMBERS!!
