Particular points that are also interesting:

1) The company is bleeding cash. Even ignoring the Accurate acquistion, they are losing cash at a scary rate. Even with their legal settlement... it's only a Band-Aid. Once the first payment is gone ($100,000), a few thousand each month is not going to do them much good. The $100,000 is obviously going to be eaten up as part of the $145,000 balloon payment still due on Accurate.

2) They only have a credit line left of $67,000, which hardly bodes well for future cash infusions.

3) Rather than seeing their stock become worthless, Wagner may step in and take over the company soon, which would also quadruple the number of shares, not exactly a "shareholder-friendly" move.
