Venture Agreement with Hollinger Digital, Inc., the new media
management and investment arm of Southam Inc. and Hollinger
International Inc. (NYSE: HLR). With a combined paid daily circulation
of 4.1 million, Hollinger International is one of the world's leading
newspaper publishing companies whose properties include The Daily
Telegraph and The Sunday Telegraph in the United Kingdom, The Chicago
Sun-Times, The Jerusalem Post, The National Post in Canada, as well as
some 348 additional titles in the United States and Canada.
Under the terms of the exclusive Agreement, American Alliance,
through its media streaming portal, www.whatsonline.com, will provide
world-wide aggregated media streaming content on a co- branded basis
to Hollinger Digital's UK portal, UKMax (www.ukmax.com). Online users
seeking media streaming content will be able to hyperlink from the
front page of UKMax directly to www.whatsonline.com. Similar prominent
direct links will be made available from other pages with UKMax,
specifically relating to sports, entertainment, news, fashion, travel,
health and weather and other topics. American Alliance shall receive a
percentage of the net revenues generated from advertising, marketing,
subscription, or other sources relating to the co-branded joint
venture.
