SECTOR: E-COMMERCE ENABLERS

Gorilla in the making ???

HLTH and WebMD Inc to merge with
50 - 50 ownership in new entity.

HLTH has previously announced merger
with MEDE for 0.6593 of HLTH with a
38.625 to 63.625 collar..

Here's what MEDE does ..

MEDE provides electronic data interchange products and services to providers and payors in the
healthcare industry, processing over900,000 transactions per day for over 65,000 providers
nationwide. For the six months ended 12/31/98, revenues rose 31% to $25 million. Net loss
applicable to Common fell 20% to $3.3 million. Revenues reflect the 11/97 acquisition of Stockton
Group and the 10/98 acquisition of Healthcare Interchange. Lower loss lagged due to greater debt
levels.

--------------------------------------------------------------------

HLTH has 70.7 mm shs
MEDE has 12.9 mm shs

The new HLTH/MEDE/WebMD Inc. entity wants
to capture the 'medical portal' and 'medical
claims transaction' space .. Don't be surprised
if supplements and prescription sales are added
to the mix .. might as well throw 'bill pay'
in there too .. CKFR anyone ???

Given the demographics of aging boomers
and investors that include MSFT/INTC/MKC/XCIT

I smell a 'sticky site gorilla' in the making ..
