<<a need to raise cash>>

<<APRIL 30, 1999 Oriole Systems Announces e-China Project

VANCOUVER, BRITISH COLUMBIA--Oriole Systems Inc. announces the
signing today of a memorandum of understanding (MOU) to acquire 51
percent of Success Technology Ltd. of Hong Kong (STL) for US $5
million ($2.5 cash and $2.5 million debenture instrument).>>

I guess you're quite right. And there I was thinking you got the cash first and the deal second! It's the other way around. Deal outlined first by way of a memorandum of understanding, then the necessary cash is raised to meet the terms, then the deal is finalized. Makes sense to me, for a change! :-) The $2.5 M cash is raised by the stock issue on NASDAQ, and the $2.5 M debenture is paid off over time with the income from the e-commerce business, right?

Now all I need to figure out is where my OOL(VSE) shares enter the picture! And who owns/profits from this e-commerce venture, OOL shareholders or the NASDAQ share holders? Or both?

Some answers and more questions!

Cheers,

Don
