Cyberspades is an online casino that provides casino gaming to anyone with access to the internet. Casino gaming, both in person and on the internet, is a tremendous growth industry. The company is about to release its updated Cyberspades 3.0 software which can be downloaded at its website (http://cyberspades.com) or obtained on CD-ROM. The new software includes a sportbook and multi-player games, two competitive advantages that will place them at the forefront of the industry. The launch of an additional casino, Online Entertainment Casino (www.oecasino.com) coupled with the more intuitive and exciting interface and new games should also enhance profits.
Cyberspades operates an online casino where netsurfers can place actual bets on roulette, black jack, craps and other casino games. Using state-of-the-art internet protocols the casino offers full E-Cash support and allows players to open an account using a cash advance from their credit card, wire transfers, money orders, personal checks and prepaid cards. Transactions are protected by high-level encryption technology. April revenue from Cyberspades is expected to hit $68,000, with 12 month revenue projected to be $831,000. For the nine month period ending December 31, 1998 Cyberspades had revenues of $309,871.

BINGO TOWN |
Bingo Town (http://www.bingotown.com/bingo) doesn't require a download like Cyberspades as it operates online using Java™. Bingo, like casino gaming, is very popular and attracts those who like this lighter form of gambling. It appeals to those who would otherwise avoid the online casino (or regular casino) but still like to gamble. Thus, we believe that Software Gaming has covered the majority of the online gambling industry by offering both casino gaming and bingo. Revenues from Bingo Town are derived from membership fees, licensing the software to other organizations, and from banner advertising. Subject to legislative approval Bingo Town will be multi-player for a jackpot and prizes. Revenue from Bingo Town is projected at more than $400,000 over the next 12 months.

GLOBALWIRE |
Global Wire is one of the most exciting parts of Software Gaming Corp. By using its proprietary system Global Wire will be the dominant player in providing money transfer services to China. In alliance with one of Canada's largest banks, Global Wire will have access to Canada's more than 1,000,000 Chinese residents who will be able to send money to relatives and others in China.
Global Wire has several competitive advantages over other money transfer companies and banks. First, Global Wire has an alliance with the Chinese Post Office which allows it to send money to any of the Post Office's 30,000 branches throughout China. This provides unprecedented access to rural Chinese who may not be otherwise served by a bank. Global Wire also has an alliance with the Industrial and Commerce Bank of China, one of China's largest banks with 27,000 branches.
Most importantly, though, is that Global Wire can get money to the recipient faster than banks and other money transfer agencies. They can do this through their proprietary computer terminals set up in branches of their Canadian banking partner, that actually transmit the information using Chinese characters, thereby avoiding mistakes and assuring accurate information. The Global Wire system also bypasses the traditional bank money wiring system by sending the information directly to its partners in China and not routing through various other banks and institutions.
Revenues are derived from fees charged for the transfer and from exchange rate differences. The Global Wire system is expected to be in 50 bank branches in Canada by the fall of 1999. Revenues are projected to be in excess of $3 million over the next 12 months.
Global Wire provides a tremendous opportunity for growth for Software Gaming as they intend to leverage their internet experience to provide on-line money transfers over the internet. this will greatly reduce costs and greatly increase the number of people with direct access to international money transfers. Additionally, the company intends to acquire independently owned and operated money transfer operations thereby expanding their retail base and allowing them to expand the number of countries to which they may transfer money.

BEYOND 2000 SOLUTIONS |
Beyond 2000 Solutions provides a hardware and software fix for Y2K (year 2000) bugs found in personal computers using DOS, Windows 3.1, Windows95/98 and Windows NT. The Y2K Bug Remedy software developed by the company has tremendous potential because it fixes all your software and it fixes CMOS, BIOS and RTC issues. Which is important as these matters are specific to a PC's hardware and cannot be fixed by other commercially available products such as those from Norton or McAfee. Currently the product is geared towards the personal and small business user. However, in the 2nd quarter of 1999 the company expects to ship its network version for companies that have more than 50 PCs.
Beyond 2000 Solutions' management and technology advisory board is impressive and includes David Bailey, one of the co-founders of IOMEGA,the maker of the highly popular ZIP Drives, and a former top IBM executive.
This division of Software Gaming has tremendous potential because of the lack of Y2K readiness and the lack of a comprehensive fix for the problem. No Microsoft operating system is completely Y2K compliant and it should be noted that Intel still does not use a Y2K compliant Real Time Clock (RTC) in its Pentium chips, so having a new computer doesn't mean you are Y2K compliant.
