Bill:

The following is beyond dispute:

a) PCMS's convertibles have become floorless as of May 15.

b) PCMS will need $15M in additional financing this Q since
its bank line of credit which is currently maxed out is
due to go down from $50M to $40M some time this summer
(per the company 10Q).
