NET SHEPHERD INC. ANNOUNCES PRIVATE PLACEMENT OFFERING OF SPECIAL WARRANTS AT ITS ANNUAL GENERAL MEETING

CALGARY, May 21 /CNW/ - Net Shepherd Inc., (ASE: WEB) today announced it has retained Rampart Securities Ltd. to raise up to $5,000,000 (five million dollars) with Special Warrants, by way of a private placement on a best effort agency basis. The price of these Special Warrants has not yet been determined, however an announcement will be made as this information becomes available.

Don Sandford CEO and President of Net Shepherd Inc. did not announce the details of this offering at the Annual General Meeting, which was held on 20th May 1999. Mr. Sandford stated that "the proceeds from this offering are to be used to accelerate the enhancement of our 'Community Technology Tools' and will also be used to fund the 'Go-to-Market' strategy and 'Business Development' for its technology applications."
