Staruni Corp. in Joint Venture with AmeriResource Technologies Inc. to
Develop Internet Travel Guide

BEVERLY HILLS, Calif.--(BUSINESS WIRE)--May 21, 1999--Staruni Corp. (OTC BB:SRUN - news) announced that it has
signed a Letter of Intent with AmeriResource Technologies Inc. (OTC BB:ARET - news) to joint venture ''The Agent's Hotel Guide.''

Staruni will acquire a 50 percent interest in the project and will be responsible for putting the guide on the Internet. ARET recently purchased ''the Guide'' from Global
Datatel Inc. (Nasdaq:GDIS - news).

Staruni is a Los Angeles-based Internet service provider and Web marketer with 56k connectivity throughout Southern California.

The Agent's Hotel Guide Inc. lists and markets more than 10,000 hotels in the United States, Canada, Mexico, and the Caribbean. It was one of the most preferred
resources available to travel agents for the listing of hotels when the company was in operation. The company has not been in operation for the last three years.

The guide was distributed to more than 50,000 travel agencies and travel planners twice per year, nearly all of them at subscription request. The hotel guide had a
usership of three travel agents per publication, taking the ad to 150,000 travel agents nationwide.

''This Joint Venture with ARET will allow SRUN to gain a foothold in the highly lucrative Internet travel industry,'' stated Bruce D. Stuart, chief executive officer. ''This
guide, which had a large following in recent times, is a natural to move to the Internet.''

The Joint Venture is to be finalized in 20 days pending due diligence.
