My guess is it is like a loan with NITE shares as collateral. SWS seems to be betting on NITE shares going up (which is a no brainer). The higher the share price, the more obvious to the lender that SWS can pay the $50M back. Also, SWS would issue less shares in 2004 if (actually when) NITE share price skyrockets. Reason - they would have to sell less shares then to get $50M than if they were to do it now.
