Weather you get any comfort from it or not "The Company's largest shareholders including Mr. Robert E. Davids, the selling shareholder in this prospectus, and..." seems to be a pretty clear indication of who the selling shareholder might be.

Also it's not clear to me that Mr. Davids has any intention whatsoever of selling. He has a bunch of unregistered shares that have to be registered before he's allowed to even think about selling them. The registration fee is based on the aggregate offering price; or $7853 in this case. It seems only prudent to me to do your registering on a dip. If he registered them when the stock was trading at 15 it would have cost him $3927 more. OK, $4K is a pittance wrt 28 or 32 mil, but it's still $4K.
