I have noted that the stock price of Netscape is trading near its 52 week low price and they compete with Microsoft. I have noted that Corel is trading near its 52 week low price and they compete with Microsoft. I have noted that Novell is trading near its 52 week low price and they compete with Microsoft.

The officer that represents Netscape has spoken publicly on several occassions that Microsoft has used anti-competitve practices in their marketing tactics. I give him credit for that.

The officer that represents Corel is an ego maniac.

The officers and directors of Novell chose to sell their shares going back approximaetly two years at prices around the $20 plus stock price mark. Their sales were in such significant amounts that it was reported in the Weds. edition of the Wall Street Journals Insider Activity section. To add insult to injury there have been officers selling their shares at the $10.50 to $12.50 range as recently as the this past year.

It is obvious based on their stock sales that the officers and directors have no confidence in Novell's prospects. They have failed to put their money where their mouths are.

The value of Novell is its installed customer based in the hands of a capable management team. At Novell's current stock price the stock market is discounting that their customer base will erode into exstinction.

As far as a possible buy-out. It appears to me that the 8-A12G filing with the SEC on 11/21/96 (www.sec.gov) is a deterrent to a potential acquirer that unjustly benefits the BOD. This filing should be questioned at the upcoming shareholders meeting. Also the guy who made the public statement that Novell was not for sale and intends to go it alone needs to be fired.

I think at this point in time the only newly appointed CEO that could significantly lift Novell's stock price would be Chain-Saw Al Dunlap or Superman himself.

All Novell shareholders should write to the company demanding that the company hire an investment bank and seek a buyer for the company; before management squanders it's installed customer base and the billion dollars.
