What it means:
The Warrant will allow the holder to purchase one share of Integrated's common stock at $5.00 per share for a period of five years expiring June 11, 2004 at 5:00 p.m. est.

This means that the company feels the stock price will exceed $5 in the next 5 years. Exercise of the warrants would generate around $34 million in cash for the company ($5 x 6,800,000 warrants).

The warrants will initially not be tradable or DTC eligible, and will be delivered in certificate form to the beneficial owner or its nominee. The warrant will be delivered to each shareholder of record by July 30, 1999.

This is the short-busting part. The warrants have to be issued to all shareholders of record. They can't be bought, they can't be exchanged. The only way to get them is if you are holding stock. If you happen to be unfortunate enough to be holding a naked short position (such as a market maker who sold stock to fill a customer order without having the stock in inventory to sell, creating a naked short position), then the only way the MM can deliver the warrant to the customer (as required) is to physically buy IGHS stock commensurate to his short position.

IGHS is leaving no stones unturned. This is a well thought out and well executed plan.
