As with any process the lawyers set certain guidelines. The practice of a hold back has two roles.
1) It keeps the seller honest (hopefully).
2) It provides for a measure of protection for the buyer should any material fact be overlooked or misrepresented.
The fact that the transaction was subject to such scrutiny including fairness hearings, 1998 certified audits etc would seem to indicate that there are no potential problems.
The usual should be welcome. It is the unusual that we would need to look into in depth.
