Sam, this doesn't answer your questions, but for reference: per the 3/31/99 10QSB, there were 76.6 million common shares issued and outstanding. There were 10 million preferred shares authorized, none issued and outstanding. According to p.4 of Part II (3/31/99 10QSB), "In connection with the offering, a total of 17,000,000 shares of
restricted common stock were placed in escrow for five of the investors. The
Company does not consider these shares to be outstanding unless and until the
debentures are converted. Debentures totaling $486,736 have been converted by
one investor and 2,000,000 of the escrowed shares have been delivered to the
